By downloading, installing, or using the Restaurant Hub mobile application (the "App"), you ("User", "you") accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the App. These Terms constitute a legally binding agreement between you and Restaurant Hub AI ("Restaurant Hub", "we", "us", or "our"). We may modify these Terms at any time, and continued use of the App after such modifications constitutes acceptance of the revised Terms.
To access certain features of the App, you must register and create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.
Restaurant Hub provides a platform that connects restaurant owners with service providers, suppliers, and workers. The App enables booking of services, supplier orders, job postings, scheduling, compliance management, and related operational tools. We act solely as an intermediary platform and are not a party to the contracts formed between restaurant owners and the service providers, suppliers, or workers they engage through the App. We do not guarantee the quality, safety, legality, or availability of any service or product listed on the platform.
Payments processed through the App are handled by third-party payment processors. By using the App, you authorize us and our payment processors to charge your selected payment method for any services booked, products purchased, or subscription fees incurred. All fees are non-refundable except as required by law or as explicitly stated in our refund policy. You are responsible for any taxes, duties, or governmental fees associated with your transactions. Restaurant Hub may charge a service or platform fee, which will be disclosed before the transaction is completed.
The App and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, software, and design) are the exclusive property of Restaurant Hub or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, or reverse engineer any part of the App without our prior written consent. You retain ownership of content you submit through the App but grant Restaurant Hub a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for the purpose of operating and improving the App.
You agree not to use the App to: (a) violate any applicable law or regulation; (b) infringe the intellectual property or other rights of any party; (c) transmit harmful, harassing, defamatory, or otherwise objectionable content; (d) interfere with or disrupt the App's servers or networks; (e) attempt to gain unauthorized access to any part of the App; or (f) use automated means (bots, scrapers) to access the App without our written permission.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, RESTAURANT HUB DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL RESTAURANT HUB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Restaurant Hub, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the App, your violation of these Terms, or your violation of any rights of another party.
We may suspend or terminate your access to the App at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the App will cease immediately. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.
These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration in São Paulo, Brazil, except that either party may seek injunctive relief in any court of competent jurisdiction. For users in the European Union, mandatory consumer protection laws of your country of residence shall apply where required.
